Salary: $80,000 - $200,000 per year
A bit about us: This Law Firm is seeking a highly motivated and detail-oriented Corporate Paralegal to join a dynamic team. The ideal candidate will provide essential support for attorneys working on mergers and acquisitions (M&A) and venture capital transactions for high-growth companies, startups, and investors.

Job Details Assist in all stages of M&A and venture capital transactions, including due diligence, document drafting, and closing processes.
Draft and review corporate documents such as resolutions, consents, stock certificates, and other legal filings.
Assist with maintaining capitalization tables, managing stock ledgers, and ensuring accurate equity recordkeeping.
Organize and manage data rooms, review corporate records, and summarize key findings for attorneys and clients.
File formation and governance documents with state and federal agencies, including preparing Form D filings and Blue Sky compliance.
Serve as a point of contact for clients, providing updates and assisting with routine corporate matters.
Bachelor’s degree or equivalent experience required; paralegal certification is a plus.
4+ years of corporate paralegal experience, preferably in M&A or venture capital.
Strong understanding of corporate governance, equity management, and transactional workflows.
Proficiency in legal research tools, Microsoft Office Suite, and equity management platforms such as Carta or Shareworks.
Excellent organizational skills with an ability to manage multiple projects and deadlines.
Exceptional communication and interpersonal skills to collaborate effectively with attorneys, clients, and team members.
